BACKGROUND: 

This agreement applies as between you, the User of this Website or Customer and Hello Bio Ltd, the owner(s) of this Website. Your agreement to comply with and be bound by these Terms and Conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these Terms and Conditions, you should stop using the Website immediately.

No part of this Website is intended to constitute a contractual offer capable of acceptance. The Customer’s order constitutes a contractual offer and our acceptance of that offer is deemed to occur upon our sending a dispatch email to the Customer indicating that the order has been fulfilled and has been dispatched.

These Terms and Conditions shall apply to all Orders and Specification Documents.

 

1. Definitions and Interpretation 

In this Agreement the following terms shall have the following meanings:  

“Account”

means collectively the personal information, Payment Information and credentials used by Users to access Paid Content and / or any communications System on the Website;

 

“Agreement”

means these Terms and Conditions together with the contents of any Order and/or terms of any Specification;

“Carrier”

means any third party responsible for transporting purchased Goods from our Premises to customers;

Content”

means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a computer that appears on or forms part of this Website;

“Customer”

means any person, organisation or business that buys Goods from Hello Bio from this Website;

“Chemistry services”

means the production of Products/Packsizes not available on the Hello Bio Website

Hello Bio Ltd

means Hello Bio Ltd, Unit 3, IO Centre, Cabot Park, Avonmouth, Bristol BS11 0QL, United Kingdom.

"Intellectual Property Rights"

means all patents, rights to inventions, copyright and related rights, trademarks, trade names and domain names, rights in get-up, rights in goodwill or to sue for passing-off, rights in designs, rights in computer software, database rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all application (or rights to apply) for, and renewals or extensions of such rights and all similar or equivalent rights or forms of protection which may now or in the future subsist in any part of the world;

“Goods”

 

 

means Life Science Reagents and Chemistry Services as listed on an accepted Order (in the absence of a Specification) or a Specification and provided by Hello Bio Ltd;

“Online Service”

means collectively any online facilities, tools, services or information that Hello Bio Ltd makes available through the Website either now or in the future;

“Order”

means a completed online order form for Life Science Reagents and/or Chemistry Services submitted by the Customer to Hello Bio Ltd via the Website;

“Payment Information”

means any details required for the purchase of Goods from this Website.  This includes, but is not limited to, credit / debit card numbers, bank account numbers and sort codes;

“Purchase Information”

means collectively any orders, invoices, dispatch notes, receipts or similar that may be in hard copy or electronic form;

“Premises”

Means our place(s) of business located at Unit 3 IO Centre, Cabot Park, Avonmouth, Bristol BS11 0QL, United Kingdom.

Specification

means a statement of work, quotation or other similar Hello Bio Ltd document describing the Life Science Reagents  and/or Chemistry Services which may be provided by Hello Bio Ltd as a result of an Order

System”

means any online communications infrastructure that Hello Bio Ltd makes available through the Website either now or in the future.  This includes, but is not limited to, web-based email, message boards, live chat facilities and email links;

“User” / “Users”

means any third party that accesses the Website and is not employed by Hello Bio Ltd and acting in the course of their employment; and

“Website”

means the website that you are currently using (hellobio.com) and any sub-domains of this site unless expressly excluded by their own terms and conditions.

”Working Days”

means Monday to Friday excluding Saturdays, Sundays, bank and public holidays.

The Site is operated by Hello Bio Limited, registered in England and Wales under company registration number 08891750 and with its registered office at Hello Bio Ltd of Unit 3 IO Centre, Cabot Park, Avonmouth, Bristol BS11 0QL, United Kingdom.

3. Customers

3.1  These Terms and Conditions apply to customers purchasing on behalf of a business or organisation only. 

3.2  Hello Bio Ltd does not accept Orders from individuals. An Order placed shall only be accepted and processed by Hello Bio Ltd once background checks have confirmed the geographical location, financial standing and identity of the Customer. Notwithstanding the foregoing, by placing an Order, the Customer warrants that it is an organisation legally capable of entering into binding contracts. The Customer also accepts and acknowledges that these Terms and Conditions will apply to any Order and/or Specification.

3.3  For international Customers ordering Goods from outside Hello Bio Ltd’s country of residence, import duties and taxes may be incurred once the Goods reach their destination.  Hello Bio Ltd is not responsible for these charges and we undertake to make no calculations or estimates in this regard. If a Customer is buying internationally, they are advised to contact their local customs authorities for further details on costs and procedures.  The purchaser of the Goods will also be the importer of record and as such should ensure that the purchase is in full compliance with the laws of the country into which the Goods are being imported.

3.4  The Customer shall be responsible for complying with all applicable laws and regulations of the country in which the Goods are supplied. Hello Bio Ltd shall not be liable to the Customer or any third party for any breach by the Customer of such laws and regulations, and the Customer shall be responsible for any loss incurred as a result.

3.5  Please be aware that Goods may be inspected on arrival at port for customs purposes and Hello Bio Ltd gives no guarantee that the packaging of the Goods will be free of signs of tampering.

3.6  Hello Bio Ltd may place restrictions on the acceptance of Orders from certain countries. Please contact Hello Bio Ltd for more information on its policy for a particular country of residence.

 

4.  Intellectual Property

4.1  Subject to the exceptions in Clause 5 of these Terms and Conditions, all Content included on the Website, unless uploaded by Users, including, but not limited to, text, graphics, logos, icons, images, sound clips, video clips, data compilations, page layout, underlying code and software is the property of Hello Bio Ltd, our affiliates or other relevant third parties.  By continuing to use the Website you acknowledge that such material is protected by applicable United Kingdom and International intellectual property and other laws.

4.2  Subject to Clause 6 you may not reproduce, copy, distribute, store or in any other fashion re-use material from the Website unless otherwise indicated on the Website or unless given express written permission to do so by Hello Bio Ltd.

4.3  The supply by Hello Bio Ltd to the Customer of Goods does not create or transfer any proprietary rights to the Customer and Hello Bio Ltd expressly reserves the ownership of all Intellectual Property Rights in the Goods, including without limitation the manufacturing and composition of the Life Science Reagents .An Agreement confers no licence, assignment or transfer in respect of any of Hello Bio Ltd’s Intellectual Property Rights to the Customer.

 

5.  Third Party Intellectual Property

5.1  Unless otherwise expressly indicated, all Intellectual Property rights including, but not limited to, Copyright and Trademarks, in product images and descriptions belong to the manufacturers or distributors of such products as may be applicable.

5.2  Subject to Clause 6 you may not reproduce, copy, distribute, store or in any other fashion re-use such material unless otherwise indicated on the Website or unless given express written permission to do so by the relevant manufacturer or supplier. 

 

6.  Fair Use of Intellectual Property

Material from the Website may be re-used without written permission where any of the exceptions detailed in Chapter III of the Copyright Designs and Patents Act 1988 apply.

 

7.    Links to Other Websites

This Website may contain links to other sites.  Unless expressly stated, these sites are not under the control of Hello Bio Ltd or that of our affiliates.  We assume no responsibility for the content of such websites and disclaim liability for any and all forms of loss or damage arising out of the use of them. The inclusion of a link to another site on this Website does not imply any endorsement of the sites themselves or of those in control of them.

9.  Use of Communications Facilities

9.1  When using the enquiry form or any other System on the Website you should do so in accordance with the following rules:

9.1.1  obscene or vulgar language must not be used;

9.1.2  Content that is unlawful or otherwise objectionable must not be submitted.  This includes, but is not limited to, Content that is abusive, threatening, harassing, defamatory, ageist, sexist or racist;

9.1.3  Content that is intended to promote or incite violence must not be submitted;

9.1.4 it is advised that submissions are made using the English language as we may be unable to respond to enquiries submitted in any other languages;

9.1.5  the means by which Users identify themselves must not violate these Terms and Conditions or any applicable laws;

9.1.6  Users must not impersonate other people, particularly employees and representatives of Hello Bio Ltd or our affiliates; and

9.1.7   our System must not be used for unauthorised mass-communication such as “spam” or “junk mail”.

9.2  You acknowledge that Hello Bio Ltd reserves the right to monitor any and all communications made to us or using our System.

9.3  You acknowledge that Hello Bio Ltd may retain copies of any and all communications made to us or using our System.

9.4  You acknowledge that any information you send to us through our System or post on our Product Board may be modified by us in any way and you hereby waive your moral right to be identified as the author of such information.  Any restrictions you may wish to place upon our use of such information must be communicated to us in advance and we reserve the right to reject such terms and associated information.

 

10.  Accounts

10.1  In order to purchase Goods on this Website and to use the enquiry facilities Users are required to create an Account which will contain certain personal details and Payment Information which may vary based upon a User’s use of the Website as we may not require payment information until a purchase is to be made.  By continuing to use this Website you represent and warrant that:

10.1.1  all information you submit is accurate and truthful;

10.1.2  if you are buying on behalf of your employers, you have the authority to submit Payment Information where any such authority is required; and

10.1.3.  you will keep this information accurate and up-to-date

Your creation of an Account is further affirmation of your representation and warranty.

10.2  It is recommended that you do not share your Account details, particularly your username and password.  Hello Bio Ltd accepts no liability for any losses or damages incurred as a result of your Account details being shared by you.  If you use a shared computer, it is recommended that you do not save your Account details in your internet browser.

10.3  If you have reason to believe that your Account details have been obtained by another without consent, you should contact Hello Bio Ltd immediately to suspend your Account and cancel any unauthorised purchases that may be pending.  Please be aware that purchases can only be cancelled until they are dispatched.  In the event that an unauthorised purchase is dispatched prior to your notifying us of the unauthorised nature of the purchase, Hello Bio Ltd accepts no liability or responsibility and you should make contact with the Carrier detailed in the Purchase Information.

10.4  When choosing a username Users are required to adhere to the terms set out above in Clause 9.  Any failure to do so could result in the suspension and/or deletion of your Account.

 

11.  Termination and Cancellation

11.1 Either Hello Bio Ltd or a User may terminate an Account.  If Hello Bio Ltd terminates your Account, you will be notified by email and an explanation for the termination will be provided.  Notwithstanding the foregoing, we reserve the right to terminate without giving reasons.

11.2  The Customer may terminate or cancel by written notice an Agreement more than five Working Days before date for completion of the Chemistry Services but shall be liable for any third party costs incurred by Hello Bio Ltd in performing the Agreement. 

11.3  If the Customer gives written notice to terminate or cancel an Agreement on less than five Working Days before the date for completion of the Chemistry Services the Customer shall be liable for the full amount of the Chemistry Services as set out in the Order and the Specification (if any). The Customer acknowledges that this liability represents a genuine pre-estimate of Hello Bio Ltd’s losses in the event of a short notice to terminate or cancel.

11.4  If Hello Bio Ltd terminates an Account, any current or pending purchases on your Account will be cancelled and will not be dispatched.

11.5.  Hello Bio Ltd reserves the right to cancel purchases without stating reasons, for any reason prior to processing payment and dispatch.

11.6.  If purchases are cancelled for any reason prior to dispatch Customers will be refunded any monies paid in relation to those purchases.

11.7.  If a User terminates their Account any non-dispatched purchases will be cancelled and a full refund of any monies paid in relation to those purchases will be paid through the payment method used when the Goods were purchased.

11.8  Notwithstanding any other provision, all payments payable to Hello Bio Ltd under an Agreement shall become due immediately upon termination of the Agreement for whatever reason.

 

12.  Payment

12.1  Any and all invoices are due for payment on the date shown on the invoice, unless alternative arrangements have been agreed between the Customer and Hello Bio Ltd. Invoiced amounts are payable by bank transfer, cheque or credit card in Pounds Sterling, Euros or United States dollars as indicated on the invoice.

12.2  Hello Bio Ltd shall not be liable for any charges imposed by your bank during the payment process. Any such charges incurred by Hello Bio Ltd shall be reimbursed by you.

12.3  Hello Bio Ltd shall be entitled to charge interest calculated on a daily basis on all overdue amounts owed to Hello Bio Ltd (both before and after judgment) until actual payment at the rate of eight per cent (8%) per annum or the highest rate provided by law above the official dealing rate prevailing from time to time (as set out in the Late Payment of Commercial Debts (Interest) Act 1998) until payment is made in full.

 

13.  THE AGREEMENT

13.1.1   After placing an Order, the Customer will receive an email from Hello Bio Ltd acknowledging receipt of the Order. Please note that this does not mean that an Order has been accepted.

13.1.2.   The Order constitutes an offer to Hello Bio Ltd from the Customer to buy Goods. All Orders are subject to acceptance by Hello Bio Ltd, who will confirm such acceptance to the Customer by sending an email to confirm an Order with a Specification (if required) specifying the date of delivery where known. Where no Specification is required, an Agreement between the Customer and Hello Bio Ltd shall be formed when Hello Bio Ltd confirms an Order in accordance with this Condition 13.1.2.

13.1.3  If used, the Specification shall specify the Goods to be supplied and the price payable. The Customer shall notify Hello Bio Ltd of its acceptance of the contents of the Specification or if it requires changes to the contents of the Specification in accordance with Condition 14. Where a Specification is required, an Agreement between the Customer and Hello Bio Ltd shall only be formed when the Customer confirms acceptance of the Specification in accordance with this Condition 13.1.3.

13.1.4.   All Goods shall conform only to the Specification in the Order (in the absence of a Specification) or the Specification. For the avoidance of doubt no description, or illustration contained in any website (including hellobio.com), catalogue, product pamphlet or other sales or marketing literature of Hello Bio Ltd and no representation written or oral, correspondence or statement shall form part of the description of the Goods. Any such description or illustration is intended as a guide only.

 

14.  Alterations to the specification

14.1.   The parties may at any time mutually agree upon and execute new Specifications. Any alterations in the scope of Life Science Reagents  and/or Chemistry Services shall be set out in a new Specification, as well as any alterations to the price, delivery and any other terms agreed between the parties.

14.2.   The Customer may at any time request alterations to the Specification by notice in writing to Hello Bio Ltd. On receipt of the request for alterations Hello Bio Ltd shall, within 5 Working Days or such other period as may be agreed between the parties, advise the Customer by notice in writing of the effect of such alterations, if any, on the price, delivery and any other terms agreed between the parties.

14.3.   Where Hello Bio Ltd gives written notice to the Customer in accordance with Condition 10.2, the Customer shall, within 5 Working Days of receipt of such notice or such other period as may be agreed between the parties, advise Hello Bio Ltd by notice in writing whether or not it wishes the alterations to proceed. Failure by the Customer to provide such notice shall cause Hello Bio Ltd to continue to fulfil the Agreement as agreed prior to discussing changes in accordance with this Condition 14.

 

15.  Warranty

15.1.  Hello Bio Ltd warrants that the Chemistry Services performed under an Agreement shall be performed using reasonable skill and care, and of a quality conforming to generally accepted industry standards and practices.

15.2.   Except as expressly stated in an Agreement, all warranties or conditions whether express or implied, by operation of law or otherwise, are hereby excluded in relation to the Goods.

 

16.  Customer Obligations

To enable Hello Bio Ltd to perform its obligations under an Agreement the Customer shall:

16.1. co-operate with Hello Bio

16.2. provide any information reasonably required by Hello Bio 

16.3. obtain all necessary permissions and consents which may be required by the Customer or Hello Bio Ltd before the commencement of the Chemistry Services; and

16.4. comply with such other requirements as may be set out in the Specification or otherwise agreed between the parties.

16.5. The Customer shall be liable to compensate Hello Bio Ltd for any loss, costs, damages, claims, charges or expenses incurred by Hello Bio Ltd as a result of the Customer’s failure to comply with Clause 16.1.

 

17.  Goods, Pricing and Availability

17.1. Where appropriate, you may be required to select the required pack size or formulation of the Goods that you are purchasing.

17.2. Hello Bio Ltd does not represent or warrant that such Goods will be available.  Stock indications are not provided on the Website.

17.3. All pricing information on the Website is correct at the time of going online.  Hello Bio Ltd reserves the right to change prices and alter or remove any special offers from time to time and as necessary.  .

17.4. In the event that prices are changed during the period between an order being placed for Goods and Hello Bio Ltd processing that order and taking payment, you will be contacted prior to your order being processed with details of the new price.

17.5. All prices on the Website do not include VAT.  Hello Bio Ltd’s VAT number is GB 183357686

17.6. All Prices on the Website exclude delivery costs, which (if relevant) will be added to the total amount due from the Customer. Hello Bio Ltd shall also charge the Customer any reasonable out-of-pocket expenses incurred in providing the Chemistry Services.

 

18.  Property, Risk and Account of Profits

18.1. Title in Goods will not pass to the Customer until the full purchase price for those Goods has been received by Hello Bio Ltd.  Title remains with Hello Bio Ltd until payment is complete.

18.2. If the Customer sells the Goods on to its own customers in any form, either as purchased from Hello Bio Ltd or forming a component part of a larger Good, and any amount of the purchase price payable to Hello Bio Ltd remains outstanding, the Customer must account to Hello Bio Ltd for the proceeds of such a sale.  The Customer is then required to hold such proceeds on trust for Hello Bio Ltd until payment has been received in full by Hello Bio Ltd.

18.3. Hello Bio Ltd reserves the right to trace all proceeds under the principles of Re Hallett’s Estate (1880) 13 Ch D 696.  Once the payment date has passed, if any sums remain outstanding, Hello Bio Ltd has the right to enter the Customer’s premises and remove any Goods which, by virtue of sub-Clause 18.1, remain the property of Hello Bio Ltd.

 

19.  Delivery

19.1. All domestic and international shipments shall be Ex Works according to INCOTERMS® 2010 as issued by the International Chamber of Commerce. Hello Bio Ltd will notify you by way of email when your goods are to be dispatched to you.  The message will contain details of estimated delivery times in addition to any reasons for a delay in the delivery of the Goods purchased by you.

19.2. Hello Bio Ltd shall use reasonable endeavours to complete the Chemistry Services within any time frames set out in the Specification but time for the delivery of the Chemistry Services shall not be of the essence for the purposes of the Agreement.

19.3. Hello Bio Ltd shall not be liable for any loss, costs, damages, claims, charges or expenses caused directly or indirectly by any delay in the delivery of the Life Science Reagents or completion of the Chemistry Services.

19.4. The Customer will be deemed to have accepted the Goods as being in accordance with the Agreement unless:

19.4.1 within 14 days of the date of delivery of the Life Science Reagents , the Customer notifies Hello Bio Ltd in writing of any defect or other failure of the Life Science Reagents  to conform with the Agreement (which would be apparent upon reasonable inspection and testing of the Life Science Reagents  within 14 days); or

The Customer notifies Hello Bio Ltd in writing of any defect or other failure of the Life Science Reagents  to conform with the Agreement within a reasonable time where the defect or failure would not be so apparent within 14 days of the date of delivery,

failing which the Customer shall not be entitled to reject the Life Science Reagents  and Hello Bio Ltd shall have no liability for such defect or failure, and the Customer shall be bound to pay the price as if the Life Science Reagents  had been delivered in accordance with the Agreement.

 

20.  Returns Policy

Hello Bio Ltd aims to always provide high quality Goods that are fault free and undamaged.  On occasion however, goods may need to be returned.  Returns are governed by these Terms and Conditions.

20.1  If the Customer receives Goods which do not match those ordered, unless accompanied by an explanatory note detailing the changes, stating reasons for the changes and setting out your options, the Customer should contact us within 14 working days to arrange collection and return.  Hello Bio Ltd  is responsible for paying shipment costs.  The Customer will be given the option to have the Goods replaced with those ordered (if available) or to be refunded through the payment method used when the Goods were purchased.  Refunds and replacements will be issued upon our receipt of the returned Goods.

20.2.  If any Goods purchased do not comply with the Specification when they are delivered, the Customer should contact Hello Bio Ltd within 14 working days to arrange collection and return.  Hello Bio Ltd is  responsible for paying shipment costs.  Goods must be returned in their original condition with all packaging and documentation.  Upon receipt of the returned Goods, the price of the Goods, as paid, will be refunded through the payment method used when the Goods were purchased.

20.3.  If Goods are damaged in transit and the damage is apparent on delivery, the Customer should sign the delivery note to the effect that the goods have been damaged.  In any event, such damage should be reported to Hello Bio Ltd within 10 working days and arrange collection and return.  Hello Bio Ltd is responsible for paying shipment costs.  Upon receipt of the returned Goods, the price of the Goods, as paid, will be refunded through the payment method used when the Goods were purchased.

20.4.   If the Goods have been dispatched or have reached you, but the Customer decides that they are no longer required, the Goods can be returned to Hello Bio Ltd within 10 days of receipt.  Goods can only be returned for this reason if they have been stored as detailed on the Specification, their packaging remains unopened and the Goods can be re-sold, as new, without any additional work on the part of Hello Bio Ltd.  The Customer is responsible for paying shipment costs if Goods are returned for this reason.

20.5.  If the Customer wishes to return Goods to Hello Bio Ltd for any of the above reasons, please contact us using the details on hellobio.com/contact-us to make the appropriate arrangements.

 

21.  Privacy

21.1.  Use of the Website is also governed by our Privacy Policy which is incorporated into these terms and conditions by this reference. All Personal Data is treated as confidential (although Hello Bio Ltd reserves the right to disclose this information in the circumstances set out in our Privacy Policy). Personal Data will be kepte on a secure server and Hello Bio will fully comply with all applicable privacy regulations.

22.  Disclaimers

22.1.  Hello Bio Ltd makes no warranty or representation that the Website will meet your requirements, that it will be of satisfactory quality, that it will be fit for a particular purpose, that it will not infringe the rights of third parties, that it will be compatible with all systems, that it will be secure and that all information provided will be accurate. We make no guarantee of any specific results from the use of our Services.

22.2.  No part of this Website is intended to constitute advice and the Content of this Website should not be relied upon when making any decisions or taking any action of any kind.

22.3.  No part of this Website is intended to constitute a contractual offer capable of acceptance.

22.4. Whilst Hello Bio Ltd uses reasonable endeavours to ensure that the Website is secure and free of errors, viruses and other malware, all Users are advised to take responsibility for their own security, that of their personal details and their computers.

 

23.  Changes to the Online Service and these Terms and Conditions

Hello Bio Ltd reserves the right to change the Website, its Content or these Terms and Conditions at any time.  Users and Customers will be bound by any changes to the Terms and Conditions from the first time the Website is used by them following the changes.  If Hello Bio Ltd is required to make any changes to Terms and Conditions relating to sale of Goods by law, these changes will apply automatically to any orders currently pending in addition to any orders placed by Customers in the future.

 

24.  Availability of the Website

24.1. The Online Service is provided “as is” and on an “as available” basis.  We give no warranty that the Service will be free of defects and / or faults.  To the maximum extent permitted by the law we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality.

24.2. Hello Bio Ltd accepts no liability for any disruption or non-availability of the Website resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.

 

25.  Indemnification

The Customer shall be responsible for all claims, costs and expenses which arise, directly or indirectly, from the Customer’s breach of any of its obligations under an Agreement, including any claims brought against Hello Bio Ltd alleging that any Life Science Reagents  or Chemistry Services provided by Hello Bio Ltd in accordance with a Specification infringes any Intellectual Property Rights of a third party.

 

26.  Limitation of Liability

26.1 Subject to Condition 26.4, the entire liability of Hello Bio Ltd to the Customer in respect of any claim whatsoever or for breach of an Agreement, whether or not arising out of negligence, shall be limited to the price paid by the Customer for the Order to which the claim relates.

26.2. Users should be aware that they use the Website and its Content at their own risk.

26.3. Subject to Condition 26.4, in no event shall Hello Bio Ltd be liable to the Customer for any loss of business, loss of opportunity or loss of profits or for any other indirect, special or consequential loss or damage whatsoever. This shall apply even where such a loss was reasonably foreseeable or Hello Bio Ltd had been made aware of the possibility of the Customer incurring such a loss.

26.4. Nothing in these Terms and Conditions excludes or restricts Hello Bio Ltd’s liability for death or personal injury resulting from any negligence or fraud on the part of Hello Bio Ltd.

26.5. Whilst every effort has been made to ensure that these Terms and Conditions adhere strictly with the relevant provisions of the Unfair Contract Terms Act 1977, in the event that any of these terms are found to be unlawful, invalid or otherwise unenforceable, that term is to be deemed severed from these Terms and Conditions and shall not affect the validity and enforceability of the remaining terms and conditions. This term shall apply only within jurisdictions where a particular term is illegal.

 

27.  No Waiver

In the event that any party to these Terms and Conditions fails to exercise any right or remedy contained herein, this shall not be construed as a waiver of that right or remedy.

 

28.  Previous Terms and Conditions

In the event of any conflict between these Terms and Conditions and any prior versions thereof, the provisions of these Terms and Conditions shall prevail unless it is expressly stated otherwise.

 

29.  Third Party Rights

Nothing in these Terms and Conditions shall confer any rights upon any third party.  The agreement created by these Terms and Conditions is between you and Hello Bio Ltd.

 

30.  Use of Life Science Reagents

30.1. All Life Science Reagents  provided by Hello Bio Ltd are potentially hazardous and are strictly for laboratory research and development use only. The Life Science Reagents  are not supplied for pharmaceutical, household, agricultural, food, cosmetic or any other human use. 

30.2. All Life Science Reagents supplied by Hello Bio Ltd are strictly for use by scientifically qualified personnel, trained in laboratory procedures and familiar with the potential hazards of the Life Science Reagents .

30.3. The Customer warrants that its use of the Life Science Reagents will be in accordance with the provisions of this clause and that it will test the Life Science Reagents  to ensure their safety for the Customer’s intended use.

 

31.  Notices

31.1. All notices / communications shall be given to us either by post to our Premises (see address above) or by email to hello@hellobio.com.  Such notice will be deemed received 3 days after posting if sent by first class post, the day of sending if the email is received in full on a business day and on the next business day if the email is sent on a weekend or public holiday.

31.2 Hello Bio Ltd may from time to time send you information about our products and/or services.  If you do not wish to receive such information, please click on the unsubscribe link in any email that you receive from us.

 

32.  Law and Jurisdiction

These Terms and Conditions and the relationship between you and Hello Bio Ltd shall be governed by and construed in accordance with the laws of a state of competent jurisdiction.
